Terms of Service

1. Who we are

QMSReady is operated by Funderlytics Ltd, registered in England & Wales, company no. 15848558. Registered office: 167-169 Great Portland Street, Fifth Floor, London W1W 5PF, UK (“we”, “us”). Contact: support@qmsready.com. “You” means the business that buys or uses the software and the individuals who use it on that business's behalf. The software is for business use only.

2. What you are buying: a software licence

• On payment, we grant you a non-exclusive, non-transferable licence to access and use the QMSReady software for your organisation's internal business purposes during the Access Term (section 9).
• The software includes the questionnaire, document generator, validators, AI internal audit, management review pack, audit-day pack, registrar picker and AI QMS assistant, as described on our website at the time of purchase.
• Your documents. The documents the software generates for your organisation, and the information you put in, belong to you. You may keep, edit and use them for your organisation indefinitely, including after the Access Term ends.
• Our software. The software, our underlying templates, prompts, validators and know-how remain ours. You don't acquire any rights in them except the licence above.
• We provide software. We don't provide consulting, on-site services or professional advice, and nothing generated by the software is legal advice.

3. We are not a certification body. No guarantee of certification.

We are not a certification body, registrar or accreditation body, and we do not certify anyone. Certification to ISO 9001 can only be granted by an independent certification body after it audits your organisation. That decision is made solely by the certification body. We do not guarantee that you will be certified, pass any audit, or win or keep any contract. Our only commitments about audit outcomes are those in our Refund Policy.

4. Your responsibilities

• Accuracy of inputs. You are responsible for the accuracy and completeness of the information and files you provide. The software builds on what you tell it.
• Review and approval. You must review every generated document, correct anything that doesn't reflect how your organisation actually works, and approve it before using it. A document you approve is your document.
• Implementation. You are responsible for implementing and operating your quality management system: training staff, following the procedures, keeping records, running internal audits and management reviews, and engaging a certification body.
• Other obligations. You remain responsible for meeting your contractual, legal and regulatory obligations, including any customer-specific requirements.
• Account security. Keep your login details confidential and tell us promptly if you suspect unauthorised access.

5. AI-generated content

The software uses artificial intelligence. Although generated content is checked by automated validators, it may contain errors or omissions, or may not fit your circumstances. That is why section 4 requires you to review and approve everything before relying on it.

6. Price and payment

• Prices are in US dollars and shown at checkout. The core system is $2,990 one-time, or 3 monthly payments of $1,090. Applicable taxes may be added at checkout.
• Payments are handled by our payment provider, which may act as the reseller or merchant of record for your purchase. Its terms also apply to the payment transaction.
• If you choose instalments and a payment fails and isn't resolved within 14 days, we may suspend access until it is paid.
• Optional add-ons and renewals are priced separately and only charged if you choose them.

7. Refunds

Refunds and our documentation guarantee are governed by our Refund Policy, which forms part of these terms.

8. Acceptable use

You must not:

• share your account with, or generate documents for, any organisation other than the one that bought the licence (for example, consultants may not use one licence for multiple clients);
• resell, sublicense or redistribute the software or its outputs as templates or as a product or service;
• copy, scrape, reverse engineer or attempt to extract the software's templates, prompts or source code, or use it to build a competing product;
• misrepresent your certification status, for example by claiming to be “ISO 9001 certified” before an accredited certification body has certified you;
• upload content that is unlawful, that infringes others' rights, or that contains malware; or attempt to disrupt or gain unauthorised access to the software;
• upload personal data beyond what is reasonably needed to build your QMS (for example, names and job roles are fine; health or financial data about staff is not needed).

We may suspend or end access for a material breach of this section.

9. Access Term

• Your licence lasts 12 months from the date of purchase (the “Access Term”). It does not renew automatically.
• Before the Access Term ends we will remind you to export your documents. You may choose to buy an optional annual renewal.
• After the Access Term ends, the software features stop, but you keep the documents you exported. We retain and delete account data as set out in our Privacy Policy.

10. Availability and changes

We aim to keep the software available and to fix problems promptly, but we don't promise uninterrupted or error-free service. We may improve or change features over time, provided we don't materially reduce the core functionality you paid for during your Access Term.

11. Limitation of liability

• Cap. Our total liability to you arising out of or in connection with these terms or the software, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us in the 12 months before the event giving rise to the claim.
• Excluded losses. We are not liable for any indirect or consequential loss, or for loss of profit, revenue, contracts, business opportunity, goodwill or data, or for costs arising from failure to obtain or keep certification, including certification body fees.
• What we don't limit. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

12. Ending these terms

Either of us may end these terms if the other materially breaches them and doesn't fix the breach within 14 days of written notice. Sections 2 (your documents and our software), 3, 4, 11 and 13 survive the end of these terms.

13. Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

14. General

• These terms, our Refund Policy and Privacy Policy are the entire agreement between us about the software.
• We may update these terms. Changes apply to new purchases from the date they are posted; for existing customers, material changes apply only after we give you notice.
• If any part of these terms is found unenforceable, the rest remains in effect.
• Neither of us is liable for delays caused by events beyond our reasonable control.
